1. Service Description

AgenticNode is a visual agentic coding platform operated by VeriduxLabs that enables users to design, visualize, and execute AI-powered coding workflows. The platform provides a visual node-based editor, a Glass Window for real-time execution monitoring, a marketplace for sharing workflow templates, and integrations with LLM providers (OpenAI, Anthropic, Google, Ollama, and others).

By creating an account or using AgenticNode at agenticnode.io, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the service.

2. Eligibility

You must be at least 16 years of age to use AgenticNode. By using the platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account. You must notify us immediately at legal@agenticnode.io if you suspect unauthorized access to your account.

4. User Responsibilities

4.1 API Keys

AgenticNode operates on a bring-your-own-key model. You are responsible for obtaining, managing, and paying for API keys from LLM providers (OpenAI, Anthropic, Google, etc.). You must comply with each provider's terms of service when using their APIs through AgenticNode. We are not liable for charges incurred on your LLM provider accounts as a result of workflow executions.

4.2 Workflow Content

You are solely responsible for the workflows you create, the prompts you write, and the code that is generated and executed through the platform. You must ensure that your use of AgenticNode does not violate any applicable laws, third-party rights, or the acceptable use policy outlined in Section 7.

4.3 Code Execution

AgenticNode executes code on your behalf as part of workflow runs. This includes bash commands, file operations, git operations, and AI-generated code. You acknowledge that:

• You are responsible for reviewing and understanding the workflows you execute.
• AI-generated code may contain errors, security vulnerabilities, or unexpected behavior.
• You should test AI-generated code in isolated environments before deploying to production systems.
• VeriduxLabs is not responsible for damages caused by code executed through the platform.

5. Intellectual Property

5.1 Your Content

You retain full ownership of all workflows, templates, and configurations you create on AgenticNode. When you publish a workflow template to the marketplace, you grant other users a license to use that template according to the license you select at the time of publishing. You can remove published templates from the marketplace at any time.

5.2 Platform Content

The AgenticNode platform, including its visual editor, Glass Window, built-in workflow templates, and all associated software, is the intellectual property of VeriduxLabs. Built-in templates are provided under the MIT License — you may use, modify, and distribute workflows created from them without restriction.

5.3 AI-Generated Output

Code and content generated by AI models during workflow execution belongs to you, subject to the terms of service of the LLM provider whose API was used to generate it. We make no claims of ownership over AI-generated output.

6. Payments and Billing

Subscription payments are processed by Paddle, which acts as our Merchant of Record. By subscribing to a paid plan, you agree to Paddle's terms of service.

• Billing cycle: Subscriptions are billed monthly or annually, depending on the plan you select. Your subscription renews automatically at the end of each billing period.
• Price changes:We may change pricing with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect on their next renewal.
• Cancellation: You may cancel your subscription at any time. You will retain access to paid features through the end of your current billing period. No partial refunds are issued for unused time within a billing period.
• Refunds: We offer a full refund within 14 days of your initial subscription purchase, provided you have not exceeded 50 workflow executions during that period. Refund requests should be sent to legal@agenticnode.io.
• Taxes: Paddle handles all applicable sales tax, VAT, and GST as the Merchant of Record. Prices displayed may be adjusted based on your location to include applicable taxes.

7. Acceptable Use

You agree not to use AgenticNode to:

• Generate, distribute, or deploy malicious code, malware, ransomware, or any software intended to harm, disrupt, or gain unauthorized access to computer systems.
• Violate the terms of service of any LLM provider whose API you use through the platform.
• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to reverse-engineer, decompile, or extract source code from the AgenticNode platform.
• Circumvent usage limits, rate limits, or access controls through automated means.
• Use the platform to scrape, mine, or collect data in violation of applicable laws or third-party terms of service.
• Share your account credentials or allow unauthorized access to your account.
• Publish workflow templates to the marketplace that contain malicious code, hardcoded credentials, or deceptive functionality.

We reserve the right to suspend or terminate accounts that violate this acceptable use policy without prior notice.

8. Service Availability

We strive to maintain high availability of the AgenticNode platform but do not guarantee uninterrupted or error-free service. We may perform maintenance, deploy updates, or experience outages that temporarily affect availability. We will make reasonable efforts to notify users of planned maintenance in advance.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• AgenticNode and VeriduxLabs are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• VeriduxLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the platform.
• VeriduxLabs shall not be liable for damages arising from code generated or executed through the platform, including but not limited to data loss, security breaches, or system failures caused by AI-generated code.
• Our total aggregate liability for any claims arising from or related to these Terms or your use of the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless VeriduxLabs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to AgenticNode at any time if you violate these Terms or our acceptable use policy. Upon termination:

• Your right to access the platform ceases immediately.
• You may request an export of your workflow data within 30 days of termination by contacting legal@agenticnode.io.
• After the 30-day grace period, all account data will be permanently deleted.

You may terminate your account at any time through your account settings or by contacting us.

12. Modifications to Terms

We may modify these Terms at any time. When we make material changes, we will notify registered users by email and update the “Last updated” date at the top of this page. Your continued use of AgenticNode after modifications take effect constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the service.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any disputes arising from these Terms or your use of AgenticNode shall be subject to the exclusive jurisdiction of the courts located in Israel.
